Invoplex is owned and operated by Zack Viljoen, located in South Africa.

I do not sell or share your personal data to any third-parties.

Welcome to Invoplex. These Terms of Use (“Terms”) form a legally binding agreement between you (“you”, “your”, “user”) and Invoplex (“Invoplex”, “we”, “us”, “our”).
By creating an account, accessing, or using Invoplex, you agree to be bound by these Terms.

By using Invoplex, you agree to our Terms and Conditions and acknowledge that use of the platform is at your own risk. Invoplex is not liable for losses, damages, or data errors. If you spot a calculation issue, please contact us so we can investigate. We only process your data entered.

Description of Service

Invoplex is an online platform that helps users create and manage:

  • Quotes
  • Invoices
  • Clients
  • Payments
  • Business administration documents

Invoplex is not an accounting firm, tax authority, financial adviser, or legal adviser.
Use of the system is entirely at your own discretion and risk.

Eligibility

You must be:

  • Using Invoplex for lawful purposes

If you create an account on behalf of a business, you confirm you have authority to do so.

Your Account

You are responsible for:

  • Maintaining secure access to your account
  • Keeping login details confidential
  • All activity that occurs under your account

Invoplex is not responsible for unauthorised access resulting from compromised credentials.

We may suspend or terminate accounts that violate these Terms.

Acceptable Use

You agree not to:

  • Use Invoplex for unlawful or fraudulent activities
  • Store illegal or harmful content
  • Circumvent security features
  • Copy, reverse engineer, or modify Invoplex
  • Use Invoplex in a way that damages its performance, security, or availability

We may monitor usage for security and compliance.

We may suspend or terminate accounts that violate these Terms.

Third-Party Services

Invoplex uses trusted third-party providers:

  • Supabase – database, file storage, authentication
  • Vercel – hosting and infrastructure
  • Lemon Squeezy – billing and subscription management
  • html2pdf – PDF generation

By using Invoplex, you acknowledge that your data may be processed by these services. Each provider has its own privacy and security practices.

Subscription Plans and Payments

Paid plans are processed securely through Lemon Squeezy.

By upgrading, you agree to:

  • Pay recurring subscription fees
  • Allow automatic renewal until cancelled
  • Provide accurate and up-to-date payment information

Billing cycles and pricing are shown at checkout.

A separate Refund Policy applies.

Cancellation

You may cancel your subscription at any time.

  • Cancellation takes effect at the end of your billing cycle
  • You will retain access until the current paid period ends
  • After cancellation, your paid features will downgrade to the free plan limits

You may delete your account entirely by contacting us.

Data Storage, Backups & Deletion

Your data is stored securely through Supabase.

However, you acknowledge:

  • No online system is guaranteed to be error-free
  • Data loss can occur (hardware failure, outages, bugs, accidental deletion, etc.)

If you request your data to be deleted:

We will permanently delete your data (except where legally required to retain information).

Accuracy of Calculations

Invoplex provides tools for creating quotes, invoices, totals, and tax calculations.

However:

  • Invoplex does not guarantee accuracy
  • You remain fully responsible for reviewing and confirming all amounts
  • Invoplex is not liable for financial, tax, or business losses resulting from incorrect entries, settings, calculations, or exported documents

If you notice a calculation issue, please contact us and we will investigate and correct it if appropriate.

Disclaimer of Warranties (Important)

Invoplex is provided “as-is” and “as-available”, without warranties of any kind, express or implied.

We do not guarantee:

  • That Invoplex will be error-free
  • That calculations will always be accurate
  • That PDFs will always render correctly
  • That data will not be lost
  • That the service will be uninterrupted
  • That bugs or issues will not occur
  • That security breaches will never happen

You use Invoplex entirely at your own risk.

Limitation of Liability (Critical Legal Protection)

To the maximum extent permitted by law:

Invoplex is NOT liable for:

  • Loss of business, revenue, profits, or data
  • Financial or tax errors
  • Miscalculations or incorrect documents
  • Downtime or lack of access
  • Damage caused by third-party services
  • Security breaches beyond our reasonable control
  • Indirect, incidental, consequential, punitive, or exemplary damages

Total liability cap

Our total cumulative liability to you will never exceed the amount you paid us in the 12 months prior to the claim (or $10 if you use the free plan).

Indemnification

You agree to indemnify and hold Invoplex harmless from any claims, losses, or damages arising from:

  • Your use of the service
  • Your content or client data
  • Your violation of these Terms
  • Any legal or financial disputes between you and your clients

Intellectual Property

Invoplex and all related trademarks, code, branding, and content belong exclusively to Invoplex.

You may not reproduce, adapt, or resell Invoplex or its components.

User Content & Client Data

You retain full ownership of:

  • Quotes
  • Invoices
  • Client data
  • Uploaded files

You grant Invoplex a limited licence to process this data only for the purpose of operating the service.

We do not sell or monetise your data.

Privacy Policy

Use of Invoplex is also governed by our Privacy Policy, which explains how your personal data is handled.

By using Invoplex, you agree to the Privacy Policy.

Termination

We may terminate or suspend your account if:

  • You violate the Terms
  • You abuse the system
  • You engage in fraud or unlawful activity
  • Required by law

You may also request account deletion at any time.

Governing Law

These Terms are governed by the laws of South Africa without regard to conflict-of-law principles.

All legal claims must be filed in the courts of South Africa.

Dispute Resolution / Arbitration (Strong Protection Against US Lawsuits)

Before filing any legal claim, both parties agree to:

  1. Attempt informal resolution through support
  2. If unresolved, proceed to binding arbitration, not court

This means:

  • No class actions
  • No jury trials
  • No courtroom litigation
  • Claims are handled privately and efficiently

Changes to These Terms

We may update these Terms occasionally.
If major changes occur, we will notify you via email or in the app.

Continued use of Invoplex means you accept the updated Terms.
